This Service Agreement (the “Agreement”) is entered into between LeadPointWeb(“Provider”) and the business named on the order confirmation (“Client”). By paying the build fee, Client accepts this Agreement.
1. Services
Provider will design, develop, and deploy a custom small-business website using Provider’s LeadPointWeb template system. Standard deliverables:
- Home, Services, About, and Contact pages
- Mobile-responsive layout, SEO meta tags, sitemap, robots.txt, JSON-LD
- Brand-color theming derived from Client’s logo
- Client-portal login for Client to edit text and photos
- Initial deployment to Provider’s hosting infrastructure
- AI-assistant ready: an agent card and endpoint on the open A2A standard, so AI assistants that support it can read Client’s published services, hours and FAQ and pass on quote and booking requests for Client to confirm. Provider does not control which assistants support or use it.
- 30-day post-launch courtesy check-in
Anything outside this scope (custom integrations such as connecting Client’s own booking, CRM or payment systems, e-commerce checkouts, blog systems, multi-page content beyond the four pages above) is a paid add-on quoted separately.
2. Timeline
Provider delivers a live preview within 24 hours of receiving all required intake information (business name, phone, services, city/state, logo if available, hours). Client review and approval typically takes an additional 1–3 days. Live launch occurs after Client approves the preview and points the chosen domain.
Delays caused by Client (slow intake, missing assets, unresponsive domain registrar) extend the timeline by an equivalent amount.
Preview promise. If Provider does not deliver the preview within 24 hours of receiving the required intake information above, Provider will not charge Client’s first monthly subscription fee. Client-caused delays extend this deadline as described above.
Design promise. Before launch, Provider will make the design changes Client requests, within the scope of this agreement, at no extra cost, until Client is happy with the design. Requests outside that scope are quoted as add-ons.
3. Fees
- Build fee: a one-time charge stated on the order confirmation, payable in full before launch.
- Optional monthly subscription: hosting + 1–2 small edits per month + priority support, billed monthly.
- Add-ons: billed separately at quoted rates, non-refundable once delivered.
4. Edits and revisions
During an active monthly subscription, Provider includes up to 2 small edits per calendar month. A “small edit” takes under 30 minutes total — text changes, photo swaps, hours, contact info, small section updates. Larger requests are quoted as add-ons.
Edit requests are submitted through the client portal’s ticket system. Provider responds within 24–48 business hours.
5. Content and assets
Client provides any photos, logos, and copy they want featured. Client warrants they own or have a valid license for all such materials. If Client does not provide assets, Provider may use royalty-free stock and template copy that Client can replace later.
Provider is not responsible for trademark, copyright, or other third-party claims arising from materials Client supplied.
6. Domain and hosting
Client owns and controls their own domain name. Provider will assist with DNS setup but does not register the domain on Client’s behalf.
Optional domain pointing on Client’s behalf. If Client elects the “point my domain for me” option at intake, Client authorizes Provider to log into Client’s domain registrar one time using credentials Client provides, make only the DNS changes required to point the site to Provider’s hosting, and log out. Provider does not retain the credentials after the handoff is complete and recommends Client reset the registrar password afterward as a routine security measure.
Managed domain add-on.If Client elects the optional “managed domain” add-on, Provider may retain the credentials for the duration of the active subscription to handle renewals, DNS changes, and email-routing requests on Client’s behalf. Client may revoke this access at any time by changing the registrar password and notifying Provider.
For the duration of an active monthly subscription, Provider hosts the site on a commercial CDN (currently Vercel). On termination of the subscription, Provider may either (a) export a static archive for Client to self-host, or (b) transfer the deployment to Client’s own Vercel account, at Provider’s option.
7. Ownership and IP
Upon full payment, Client owns the assembled site content (their text, their photos, their data, the assembled JSON content file). The underlying template system, source code, dashboard, and tooling remain the exclusive property of Provider and are licensed — not assigned — to Client for use of the live site.
8. Confidentiality
Each party will protect the other’s non-public business information with reasonable care, will use it only to perform under this Agreement, and will not disclose it to third parties without consent except as required by law.
9. Limitation of liability
Provider’s total liability under this Agreement is capped at the fees Client paid Provider in the prior 12 months. Provider is not liable for lost profits, lost revenue, lost data, or indirect or consequential damages, even if advised of the possibility.
10. Termination
Either party may terminate by 30 days’ written notice for convenience, or immediately for material breach not cured within 14 days of notice. On termination Client’s data export rights in section 7 apply. Outstanding fees are due on the effective termination date.
11. Independent contractor
Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership, or agency relationship.
12. Governing law and disputes
This Agreement is governed by the laws of the state where Provider is headquartered. Any dispute will be resolved in the state or federal courts located in that state. The prevailing party in any legal action is entitled to recover reasonable attorney fees.
13. Entire agreement
This Agreement, together with the order confirmation and the Provider’s posted Terms of Service, constitutes the entire agreement between the parties and supersedes all prior negotiations. Modifications must be in writing and signed by both parties.
For the binding signed copy of this Agreement, see your order confirmation email.
